By placing an order with TW Glass Screens, you confirm that you have read, understood and agree to be bound by the terms & conditions below.
Definitions:
“Client” means the company or individual requesting the services from TW Glass Screens.
“TW Glass” means TW Glass Screens Ltd and any associated supplier
“Minimum Term” for all Ongoing Services means 6 months from the date of commencement of the relevant Ongoing Service.
1 GENERAL
1.1 Quotations will remain valid for the period of 14 days from the date of the quotation.
1.2 This contract is subject to these Terms and Conditions. TW Glass reserve the right to vary the Terms and Conditions from time to time.
2 PRICES
2.1 In relation to any ongoing service’s:-
2.1.1 TW Glass is Entitled to increase its prices at least once in any 12 month period.
2.1.2 TW Glass will notify the Client of any price increase in relation to clause 2.1.1 in writing at least 7 days before any increase is applied.
3 TERMS OF PAYMENT
3.1 In relation to any Ongoing Services such as Glass Screens, Glass Doors, Covid-19 Screens, Glass Office Partitions, Glass Supply or any Service provided by TW Glass the Client will pay at the time of Order which will be followed up by an invoice, a non-refundable amount equal to 100% of the amount to be billed.
Thereafter the Client will be invoiced on a recurring basis in advance.
3.2 The Client will pay TW Glass by one or more of the below, agreeing that the work will begin upon cleared funds being received:
3.3 Cheques made payable to TW Glass Screens Ltd.
3.4 An arranged standing order, or electronic transfer direct to TW Glass Screens bank account at Barclays and details will be included in the invoice.
3.5 Failure to make payment by the 14th day after TW Glass issues a client with an Invoice may result in suspension and or disconnection of any Ongoing Services without any liability to TW Glass.
4.0 INDEMINTY AND LIMITATION OF LIABILITY
4.1 The Client shall indemnify TW Glass against any loss, damage, cost or expense (including reasonable legal fees and expenses) TW Glass may suffer or incur as a result of:
4.1.1 any act, omission, neglect or default of the Client, its agents, or employees.
4.1.2 any claim by any third party that the Client’s Information and/or Client Content/Data infringes the Intellectual Property Rights of a third party or is fraudulent, offensive, abusive, defamatory, obscene or menacing or causes annoyance, inconvenience or needless anxiety or constitutes unsolicited advertising or promotional material.
4.2 Nothing in this Contract shall exclude or limit the liability of HC Media for fraudulent misrepresentation or for any death or personal injury caused by HC Media’s negligence.
5 ASSIGNMENT AND SUBCONTRACTING
5.1 None of the rights or obligations of the Client under the Contract may be assigned or transferred in whole or in part without the prior written consent of TW Glass.
5.2 The Website shall be for the sole use of the Client and shall not be capable of assignment to a third party by the Client without the prior written consent of TW Glass.
5.3 TW Glass shall be entitled to sub-contract any work relating to the Contract without obtaining the consent of, or giving notice to the Client.
5.4 TW Glass shall be free to assign its rights in the Contract to any third party without giving prior notice to the Client.
6 INVALIDITY
6.1 If any provision (or part of a provision) of this Contract is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force.
6.2 If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provision shall apply with whatever modification is necessary to give effect to the commercial the intention of the parties.
7 THIRD PARTY RIGHTS

A person who is not a party to this Contract shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement. This Clause does not affect any right or remedy of any person which exists or is available otherwise than pursuant to that Act.
8 LAW AND JURISDICTION
The Contract shall be governed by and construed in all respects in accordance with English law and the parties hereby submit to the exclusive jurisdiction of the English courts.
9 WORKING WITH TW Glass Screens
Any supplier, freelancer or contractor that is paid by TW Glass to complete work on behalf of the company and/or on behalf of a client do so with the upmost dignity and professionalism. If TW Glass deem to understand that the quality of work is poor or the agreement needs to come to an end, TW Glass reserve the right to do so with immediate effect with no fixed penalty in place unless agreed at the beginning of each individual project.
Under our ‘white label agreement’ if any supplier, freelancer or contractor that is paid by TW Glass contact the client outside of the agreed contract to promote his or her services which has not been agreed in writing by the directors, whilst the agreement is live or for a period of 6month after the end of agreement, this will be deemed as gross misconduct and all agreements will cease immediately with no fixed penalty.
